END-USER LICENSE AGREEMENT FOR ALL SOFTWARE PRODUCTS

IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL.

Red Transit Consultants LLC’s End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Red Transit Consultants, LLC for the Red Transit Consultants, LLC software product(s) identified above which may include associated software components, media, printed materials, and online or electronic documentation (“SOFTWARE PRODUCT”). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and Red Transit Consultants, LLC (“licenser”) and supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT.

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

GRANT OF LICENSE

The SOFTWARE PRODUCT is licensed as follows:

INSTALLATION AND USE

Red Transit Consultants, LLC grants you the right to install and use copies of the SOFTWARE PRODUCT on your computer running a valid licensed copy of the operating system or parent software for which the SOFTWARE PRODUCT was designed. The software may be installed on any computer but will not function until directed to a valid license.

LICENSING

Red Transit Consultants, LLC uses Flexera licensing technology to manage software activation. The SOFTWARE PRODUCT may operate under one of the following license types:

  1. Trial License

A Trial License allows limited-time use of the SOFTWARE PRODUCT for evaluation purposes only. Trial Licenses may include functional limitations or time-based restrictions. Trial usage is provided without support unless otherwise specified.

  1. Standalone License

A Standalone License permits activation on a single computer using Flexera-based licensing tied to the host machine’s hardware signature or MAC Address. A Standalone License may be transferred to a different computer once per year, provided the license is removed from the original device before activation on the new device.

  1. Network (Floating) License

A Network License permits shared use of the SOFTWARE PRODUCT across multiple computers within the same organization through a Flexera License Server using LMTools and a Vendor Daemon. Network Licenses allow a specified number of concurrent users based on the purchased seat count. The server must be maintained by the client or their IT personnel.

  1. No Regional Restrictions

There are no geographic or regional restrictions on the use or activation of the SOFTWARE PRODUCT. Clients may activate, use, and manage licenses in any legally permissible region. Red Transit Consultants, LLC does not impose region-based limitations or activation zones.

  1. License Files

License files and activation credentials are managed solely through Flexera licensing and are not connected to or dependent on Autodesk licensing systems. License files may not be altered, modified, or transferred except as allowed under this EULA.

  1. Responsibility of the License Holder

You are responsible for secure storage of license files, activation keys, server configurations, and access permissions. Red Transit Consultants, LLC is not responsible for access loss caused by hardware failure, network failure, or client configuration issues. License file replacement or reassignment may require verification and is subject to transfer limitations above.

  1. Backup and Archival Use

You may create backup copies of the SOFTWARE PRODUCT strictly for archival and recovery purposes. Backup copies do not grant additional rights or allow concurrent usage beyond licensed capacity.

DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

MAINTENANCE OF COPYRIGHT NOTICES

You must not remove or alter any copyright notices on copies of the SOFTWARE PRODUCT.

DISTRIBUTION

You may not distribute registered copies of the SOFTWARE PRODUCT to third parties. Evaluation versions available for download from Red Transit Consultants, LLC’s websites or from the Autodesk App Store may be freely distributed.

PROHIBITION ON REVERSE ENGINEERING

You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT except where expressly permitted by applicable law.

RENTAL

You may not rent, lease, or lend the SOFTWARE PRODUCT.

SUPPORT SERVICES

Red Transit Consultants, LLC may provide support services related to the SOFTWARE PRODUCT. Any supplemental code provided as part of Support Services is considered part of the SOFTWARE PRODUCT and subject to this EULA.

COMPLIANCE WITH LAWS

You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT.

TERMINATION

Red Transit Consultants, LLC may terminate this EULA if you fail to comply with its terms. Upon termination, you must destroy all copies of the SOFTWARE PRODUCT.

COPYRIGHT

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by Red Transit Consultants, LLC or its suppliers. All intellectual property rights in any content accessed through the SOFTWARE PRODUCT belong to their respective owners and may be protected by copyright or other intellectual property laws. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by Red Transit Consultants, LLC.

NO WARRANTIES

The SOFTWARE PRODUCT is provided “AS IS” without any express or implied warranty, including but not limited to warranties of merchantability, non-infringement, or fitness for a particular purpose. Red Transit Consultants, LLC does not warrant the accuracy or completeness of information contained within the SOFTWARE PRODUCT and makes no guarantees against harmful software including viruses, worms, or logic bombs.

LIMITATION OF LIABILITY

In no event shall Red Transit Consultants, LLC be liable for any damages including lost profits, business interruption, or lost information arising out of use or inability to use the SOFTWARE PRODUCT, even if advised of the possibility of such damages. Red Transit Consultants, LLC shall have no liability for loss of data or for indirect, special, incidental, or consequential damages whether based in contract, tort, or otherwise.
